Welcome to Chai-ya. We're a small, independent company based in New York City, and we're glad you're here. These Terms of Service ("Terms") govern your use of our online store, website, and all related content, features, tools, products, and services (collectively, the "Services"). Chai-ya's online store is powered by Shopify.
Throughout these Terms, "we," "us," and "our" refer to Chai-ya. "You" and "your" refer to you, the customer.
Please read these Terms carefully. They cover important topics including your rights and responsibilities, warranty disclaimers, and limitations of liability. By visiting, browsing, or purchasing through our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use or access our Services.

By agreeing to these Terms, you confirm that you are at least the age of majority in your state or province of residence. If you are allowing a minor dependent to use the Services on a device you own or manage, you take responsibility for their use.
To purchase from our store or access certain features, you may be asked to provide information such as your email address, billing details, payment information, and shipping address. You represent and warrant that all information you provide is accurate, current, and complete, and that you have the legal right to provide it.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Your account is personal to you and may not be transferred, sold, or assigned to any other person.
SECTION 2 — OUR PRODUCTS
We take pride in what we make — our chai concentrate is crafted with intention: sugar-free, dairy-free, and designed to become part of your daily ritual. We've done our best to represent our product accurately on our website, but please note that colors and product appearance may look different depending on your device's screen settings and configuration.
We do not warrant that the appearance or quality of any product you purchase will match your expectations exactly, or be identical to how it appears on our site.
Product descriptions are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time and may limit purchase quantities per person, per geographic region, or per jurisdiction, on a case-by-case basis.
SECTION 3 — ORDERS
When you place an order with Chai-ya, you are making an offer to purchase. We reserve the right to accept or decline any order for any reason, at our discretion. Your order is not accepted until we confirm acceptance and successfully process your payment.
Please review your order carefully before submitting. Once an order is accepted, we may be unable to accommodate cancellation requests. If we decline, modify, or cancel your order for any reason, we will notify you using the contact information provided at the time of your order.
Returns and exchanges are handled solely in accordance with our Refund Policy. You represent and warrant that your purchases are for personal or household use only and are not for commercial resale or export.
SECTION 4 — PRICES AND BILLING
Prices, discounts, and promotions are subject to change without notice. The price charged for any product will be the price in effect at the time your order is placed, as confirmed in your order confirmation email. Unless otherwise stated, posted prices do not include taxes, shipping, handling, customs, or import charges.
Prices in our online store may differ from those offered at physical retail locations or third-party online stores. From time to time, we may offer promotions with their own governing terms. In the event of a conflict between promotional terms and these Terms, the promotional terms will govern.
By making a purchase, you confirm that: (i) all payment information you provide is accurate and complete; (ii) you are authorized to use the payment method provided; (iii) charges incurred will be honored by your payment provider; and (iv) you agree to pay all applicable charges, including shipping, handling, and taxes.
SECTION 5 — SHIPPING AND DELIVERY
We do our best to get your order to you promptly, but all delivery times are estimates only and are not guaranteed. We are not liable for delays caused by shipping carriers, customs processing, or circumstances beyond our control.
Once we transfer your order to a carrier, title and risk of loss passes to you at that point.
SECTION 6 — INTELLECTUAL PROPERTY
All content on our Services — including but not limited to trademarks, brand assets, text, images, graphics, product descriptions, video, and audio — is owned by Chai-ya, our affiliates, or our licensors, and is protected by U.S. and international intellectual property laws.
These Terms allow you to use our Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, or transmit any of our content without our prior written consent. Unauthorized use of our Services may violate applicable intellectual property laws.
Chai-ya's name, logo, product names, designs, and slogans are trademarks of Chai-ya or its affiliates and licensors. You may not use them without our prior written permission. Shopify's name, logo, and related marks are trademarks of Shopify Inc. All other third-party marks are the property of their respective owners. All rights not expressly granted in these Terms are reserved by Chai-ya.
SECTION 7 — OPTIONAL THIRD-PARTY TOOLS
We may provide access to tools offered by third parties as part of our Services. These tools are provided "as is" and "as available," without any warranties, representations, or endorsement from us. We have no control over, and accept no liability for, third-party tools.
Your use of any optional third-party tools is entirely at your own risk. Please review the relevant third party's terms before use. Any new features or tools we add to the Services in the future will also be subject to these Terms.
SECTION 8 — THIRD-PARTY LINKS
Our Services may contain links to third-party websites or embedded third-party content. We are not responsible for the accuracy, content, or practices of any third-party sites. If you choose to leave our Services to access a third-party site, you do so at your own risk.
We are not liable for any harm, damages, or losses related to your access of third-party websites or any products, services, or content you obtain from them. Please review the terms and privacy policies of any third-party site before engaging with them. Complaints or concerns regarding third-party products should be directed to that third party.
SECTION 9 — RELATIONSHIP WITH SHOPIFY
Chai-ya's online store is powered by Shopify. However, any sales and purchases you make are made directly with Chai-ya, not with Shopify. By using our Services, you acknowledge and agree that Shopify is not responsible for any aspect of your transactions with Chai-ya, including any injury, damage, or loss resulting from purchased products. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from your purchases and transactions with Chai-ya.
SECTION 10 — PRIVACY POLICY
All personal information we collect through our Services is subject to our Privacy Policy, available on our website. Because our Services are hosted by Shopify, certain information may also be subject to Shopify's Privacy Policy.
Information you submit may be transmitted to and shared with Shopify and other third parties, who may be located in countries other than where you reside, in order to provide Services to you. By using our Services, you acknowledge that you have read and agree to the applicable privacy policies.
SECTION 11 — FEEDBACK
If you submit any ideas, suggestions, feedback, reviews, proposals, or other content ("Feedback"), you grant Chai-ya a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium, for any purpose — including to improve and promote our Services.
By submitting Feedback, you represent and warrant that: (i) you own or have all necessary rights to the Feedback; (ii) you have disclosed any compensation or incentives received in connection with your submission; and (iii) your Feedback complies with these Terms. We are under no obligation to maintain your Feedback in confidence, compensate you for it, or respond to it.
We may monitor, edit, or remove Feedback that we determine to be unlawful, offensive, defamatory, or otherwise objectionable, at our sole discretion. You are solely responsible for any Feedback you submit and its accuracy.
SECTION 12 — ERRORS, INACCURACIES, AND OMISSIONS
Our site may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any errors and to change or update information or cancel orders if any information is found to be inaccurate, at any time and without prior notice — even after an order has been submitted.

We may terminate this agreement or your access to the Services, in whole or in part, at any time and without notice, at our sole discretion. You will remain liable for all amounts due through the date of termination.
The following sections survive any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, and Privacy Policy.

Information provided through our Services is for general informational purposes only. We do not warrant its accuracy, completeness, or usefulness, and any reliance you place on it is at your own risk.
EXCEPT AS EXPRESSLY STATED BY CHAI-YA, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL.
SECTION 16 — LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, CHAI-YA, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS — AND THOSE OF SHOPIFY AND ITS AFFILIATES — SHALL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THEM, EVEN IF ADVISED OF THEIR POSSIBILITY.
SECTION 17 — INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Chai-ya, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims — including reasonable attorneys' fees — arising out of: (1) your breach of these Terms or any documents they incorporate by reference; (2) your violation of any law or the rights of a third party; or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim promptly, though a failure to do so will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of any such claim at your expense, but will not settle any claim requiring non-monetary obligations from you without your consent.
SECTION 18 — SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by applicable law, and the unenforceable portion will be severed from these Terms. Such a finding will not affect the validity or enforceability of any remaining provisions.
SECTION 19 — WAIVER AND ENTIRE AGREEMENT
Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
These Terms, together with any policies or operating rules posted on our Services, constitute the entire agreement between you and Chai-ya and govern your use of the Services, superseding all prior or contemporaneous agreements, communications, and proposals between you and us.
Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.
SECTION 20 — ASSIGNMENT
You may not delegate, transfer, or assign this agreement or any of your rights or obligations under these Terms without our prior written consent. Any attempt to do so will be null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent or notice.
SECTION 21 — GOVERNING LAW
These Terms and any separate agreements through which we provide you Services shall be governed by and construed in accordance with the laws of the State of New York and applicable federal law, without regard to conflict of law principles. You and Chai-ya consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York for any disputes arising under these Terms.

SECTION 23 — CHANGES TO THESE TERMS
You can review the most current version of these Terms at any time on our website. We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. It is your responsibility to check our website periodically for changes. Your continued use of our Services after any changes are posted constitutes acceptance of those changes.
